Notice of Reconvened Joint Watershed Meeting

Pursuant to Sections 239AT, 239AU(1)(a) and 239AZ(1) of the Companies Act 1993 (“Act”)

Notice is hereby given that the administrators will reconvene the joint Watershed Meetings of the creditors of the companies to decide the companies’ futures, at 12.00pm, Friday 30 June 2023 at 697C Wairere Drive, Chartwell, Hamilton.

If any creditor wishes to object to the joint meeting, they must submit their objections to the administrators to the address detailed below to be received no later than 12.00pm on Wednesday 28 June 2023. Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. Notwithstanding that the meeting may be a joint meeting, voting for the motions will be conducted separately for each of the companies.

Creditors who are unable to attend the meeting on location may attend online (Microsoft Teams). Please contact bri.auckland@bdo.co.nz should you wish to attend the meeting online.

Agenda

1. To consider the administrators’ reports, supplementary letter and opinion about the companies business, property, affairs and financial circumstances.
2. For the creditors of the companies to consider and vote on whether the companies should be placed into liquidation or whether the administrations should end.
3. Any other business that may lawfully be brought forward.

Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal vote. Postal votes and proxies must be received by 12.00pm, Wednesday 28 June 2023.
