Advertisement of Application for Order Under Section 174 of the Companies Act 1993

This document notifies you that:

  1. Members of the public are notified that on 8 December 2016, an application for an order, under section 174 of the Companies Act 1993, in respect of SNAPCHILL LIMITED, was filed in the High Court at Palmerston North. Its reference number is CIV-2016-454-117.
  2. The orders sought are an order setting aside the directors’ resolution and any associated actions making a call of $10.00 per share on the shares of the MD & JR Parkinson Family Trust, Dale Anthony Stone, Patricia Jane Stone and The No Moss Trustee Company Limited, an order setting aside the directors’ resolution and any associated actions which led to the forfeiture of shares in the company held by the trustees of the MD & JR Parkinson Family Trust and an order directing rectification of the records of SNAPCHILL LIMITED so that the trustees of the MD & JR Parkinson Family Trust is again recorded as the holders of 35,000 of the 100,000 shares in SNAPCHILL LIMITED.
  3. The application is to be heard by the High Court at Palmerston North (by telephone on 0800 268 787) on Monday 1 May 2017 at 9.00am.
  4. A person, other than the defendant company, who wants to appear at the hearing of the application must file an appearance not later than the second working day before that day.
  5. The plaintiffs are Matthew Daniel Parkinson, Jaqueline Rae Parkinson and Paul Andrew Lyall (as MD & JR Parkinson Family Trust), whose address for service is the offices of Paul Lyall, Barrister and Solicitor, Unit 10, Northcote Office Park, 80 Grey Street, Palmerston North.
