Notice of Meeting of Creditors
Pursuant to Sections 243 and 314 of the Companies Act 1993
We, Vivian Judith Fatupaito, insolvency practitioner, and John Anthony Waller, chartered accountant, both of Auckland, were appointed jointly and severally as liquidators of Mills Tui Alloy Limited by the shareholders, pursuant to section 241 (2) (a) of the Companies Act 1993 ("the Act"), on the 19th day of July 2004.
A meeting of creditors will be held at the Memories Room, Prince's Gate Hotel & Apartments, 1057 Arawa Street, Rotorua, on Friday, the 13th day of August 2004 commencing at 11.30 a.m.
The business to be transacted at the meeting is whether:
(a) to confirm the appointment of V. J. Fatupaito and
J. A. Waller as liquidators; or
(b) to appoint another named liquidator in place of
V. J. Fatupaito and J. A. Waller; or
(c) to determine whether a liquidation committee should be appointed to act with the liquidator and, if so decided, to choose the members of the committee.
Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal vote.
If a creditor votes by casting a postal vote in respect of
a resolution that is to be submitted to the meeting and a different resolution is submitted to the meeting:
(i) the creditor's postal vote is invalid in respect of that different resolution; but
(ii) the creditor may vote, in respect of that different resolution, either by being present in person or by proxy.
Ian Alistair Robertson of PricewaterhouseCoopers is authorised to receive and count postal votes.
