Accent Footwear Limited (``the company'') Notice of Proposed Amalgamation of Companies Pursuant to Section 221 (4) (b) of the Companies Act 1993 1. It is proposed to amalgamate the company and Injection Moulders Limited and David W. Griffiths Limited, under sections 220 and 221 of the Companies Act 1993 (``the amalgamation proposal''), on Friday, the 30th day of April 1999, being not less than 20 working days from the date of this notice. The company will continue as the amalgamated company and will succeed to all the property, rights, powers, privileges, liabilities and obligations of Injection Moulders Limited and David W. Griffiths Limited. Injection Moulders Limited and David W. Griffiths Limited will be removed from the Register of Companies following the amalgamation. 2. Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder of the company, and creditor of the company, or any person to whom the company is under any obligation, at the registered offices of the company being 44 Sale Street, Auckland. 3.
